Terms of Use

Welcome to ShareBills. These Terms of Use ("Terms") govern your access to and use of the ShareBills mobile application (the "App") operated by Kiosoft ("we," "us," or "our"). By downloading, installing, or using ShareBills, you agree to be bound by these Terms.

If you do not agree to these Terms, do not use the App.

1. Eligibility

You must be at least 13 years of age to use ShareBills. By using the App, you represent and warrant that you meet this age requirement. If you are under the age of majority in your jurisdiction, you must have the consent of a parent or legal guardian.

2. Account Registration

• You may create an account using your email address or use the App in guest mode with limited functionality.
• You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
• You agree to provide accurate and complete information when creating your account and to update it as necessary.
• We reserve the right to suspend or terminate accounts that violate these Terms.

3. Use of the App

3.1 Permitted Use

ShareBills is designed to help you track personal expenses, split costs with others, and manage shared finances. You may use the App solely for its intended personal, non-commercial purposes.

3.2 Prohibited Conduct

You agree not to:

• Use the App for any unlawful, fraudulent, or harmful purpose, including money laundering or financing of illegal activities.
• Attempt to gain unauthorized access to the App, its servers, or any related systems.
• Reverse engineer, decompile, or disassemble the App or any part of it.
• Use automated tools, bots, or scripts to access or interact with the App.
• Upload malicious content, viruses, or harmful code.
• Harass, abuse, or harm other users through the App.
• Impersonate any person or entity, or misrepresent your affiliation with any person or entity.
• Use the App in any manner that could disable, overburden, or impair its functionality.

3.3 Content Standards

Any content you post or share through the App must not:

• Be false, misleading, or deceptive.
• Contain obscene, offensive, or hateful material.
• Violate the privacy or rights of any third party.
• Constitute spam or unsolicited communications.
• Promote illegal activity or violence.

We reserve the right to remove any content that violates these standards without prior notice.

3.4 Fair Use Limits

ShareBills is designed for personal expense tracking and splitting. To ensure a quality experience for all users, the following fair use limits apply:

* Receipts scans and room scans require a verified email account. Guest users do not have access.

The App also enforces rate limits on API requests to prevent abuse and maintain service stability. Normal use is not expected to hit these limits, but if you do, requests may be temporarily throttled or rejected.

These limits are subject to change. We reserve the right to adjust them at any time to maintain service quality, and your access to certain features may be temporarily restricted if you exceed them.

4. User Content

• You retain ownership of any content you submit through the App, including transaction data, receipt images, and group information ("User Content").
• By submitting User Content, you grant us a limited, non-exclusive, worldwide license to use, store, and process your content solely for the purpose of providing and improving the App.
• You are solely responsible for the accuracy and legality of your User Content.

5. Expense Splitting and Financial Information

• ShareBills is an expense-tracking and splitting tool only. It does not process payments, transfer funds, or act as a financial institution.
• Debts and balances shown in the App are informal records only and do not constitute legally binding obligations. ShareBills is a convenience tool; it does not create, verify, or enforce any financial obligation between users.
• We do not guarantee the accuracy of expense calculations, currency conversions, receipt scan results, or item detection results. You are responsible for verifying all financial information.
• ShareBills does not provide financial, tax, or legal advice. Any settlement of debts between users is solely between the parties involved, and we bear no responsibility for any payment disputes or failures to settle.

6. AI-Powered Features

Some features in ShareBills are powered by AI and send your data to third-party services for processing. The details for each are below.

6A. Receipt Scan

• The receipt scan feature uses AI-powered optical character recognition (OCR) to extract information from receipt images. Results are provided on an "as-is" basis and may contain errors.
• Receipt images you upload are processed by Microsoft Azure Document Intelligence or Google Gemini, as described in our Privacy Policy.
• If you use a free ShareBills account, your receipt images may be processed via Google's unpaid Gemini API and Google may use that content to train and improve its AI models. Premium accounts use the paid API tier, and Google does not use that content for training. See Privacy Policy §3.1 for details.
• You are responsible for reviewing and correcting any data extracted by the receipt scan feature.

6B. Room Scan (Item Detection)

• The room scan feature uses Google Gemini to identify items visible in a photo and estimate their category, condition, and resale value. Results are approximate and may contain errors, misidentifications, or inaccurate price estimates.
• Images you upload are transmitted to Google for processing as described in our Privacy Policy. You are responsible for what appears in frame; do not upload images containing sensitive documents, identification, payment cards, or other people's personal information without their consent.
• If you use a free ShareBills account, your images are processed via Google's unpaid Gemini API and Google may use that content to train and improve its AI models. Premium accounts use the paid API tier, and Google does not use that content for training. See Privacy Policy §3.2 for details.
• Do not rely on room scan results for insurance claims, tax reporting, legal proceedings, resale pricing, or any other purpose that requires a verified valuation. Estimates are for convenience only and do not constitute a professional appraisal.
• We do not guarantee the availability of this feature and may rate-limit, throttle, or disable it at any time.

7. Groups and Shared Expenses

• When you create or join a group, other group members can view your name, display name, and shared transaction details.
• You are responsible for managing group membership and ensuring that you only add participants who have consented to being part of the group.
• We are not responsible for disputes between group members regarding shared expenses or payments.

8. Intellectual Property

• The App, including its design, features, code, and branding, is owned by Kiosoft and protected by intellectual property laws.
• You are granted a limited, non-exclusive, non-transferable, revocable license to use the App for personal purposes in accordance with these Terms.
• You may not copy, modify, distribute, sell, or lease any part of the App without our prior written consent.

9. Paid Subscriptions

• ShareBills may offer paid subscription plans ("Premium") with additional features. Pricing and available features will be displayed in the App at the time of purchase.
• Paid subscriptions are billed on a recurring basis (monthly or annually, depending on the plan you choose) and will automatically renew at the end of each billing cycle unless cancelled before the renewal date.
• Subscription purchases are processed through the Apple App Store or Google Play Store. Subscription status is managed via RevenueCat, a third-party subscription management platform. Your anonymized user identifier and subscription lifecycle events are shared with RevenueCat as described in our Privacy Policy.
• You may cancel your subscription at any time through the App Store (iOS) or Google Play Store (Android). Cancellation takes effect at the end of the current billing period; no partial refunds will be issued for the remaining period.
• We reserve the right to change subscription pricing at any time. Price changes will take effect at the start of your next billing cycle, and we will notify you in advance of any price increase.
• Refunds are handled in accordance with the policies of the applicable app store (Apple App Store or Google Play Store).

10. Availability and Updates

• We aim to keep the App up and running, but we do not guarantee uninterrupted or error-free operation.
• We may update, modify, or discontinue the App or any of its features at any time, with or without notice.
• We may require you to install updates to continue using the App.

11. Termination

• You may stop using the App at any time. To delete your account, contact us at [email protected].
• We may suspend or terminate your access to the App at any time, for any reason, including violation of these Terms, without prior notice.
• Upon termination, your right to use the App ceases immediately. Provisions that by their nature should survive termination will remain in effect.

12. Disclaimers

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE APP WILL BE UNINTERRUPTED, SECURE, OR FREE OF ERRORS, VIRUSES, OR OTHER HARMFUL COMPONENTS.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL KIOSOFT, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE APP.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE APP SHALL NOT EXCEED THE AMOUNT YOU HAVE PAID US, IF ANY, IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

14. Indemnification

You agree to indemnify, defend, and hold harmless Kiosoft and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your use of the App, your violation of these Terms, or your violation of any rights of a third party.

15. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the Province of Quebec, Canada, without regard to its conflict of law provisions.

Any disputes arising from these Terms or your use of the App shall be resolved exclusively in the courts of the Province of Quebec, Canada, and you consent to the personal jurisdiction of such courts.

16. Changes to These Terms

We may update these Terms from time to time. We will notify you of any material changes by posting the updated Terms within the App and updating the "Last Updated" date at the top of this page. Continuing to use ShareBills after changes are posted means you accept the updated Terms.

17. Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

18. Waiver

The failure of Kiosoft to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by Kiosoft.

19. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Kiosoft regarding your use of ShareBills and supersede all prior agreements, understandings, and communications, whether written or oral.
